Terms & Conditions

These terms govern your use of VISIONS ERP - the software at app.visionserp.com, this website, and the support that comes with them. By starting a trial or a subscription you agree to them on behalf of the business you represent. We have tried to write them the way we write everything else: plainly. 1. Definitions

• "We", "us", "our" - VISIONS ERP, Dubai, United Arab Emirates. [LEGAL REVIEW] insert the registered legal entity, licence number and TRN.
• "You", "your" - the business that opens an account, and every person it allows to sign in.
• "The service" - the cloud software at app.visionserp.com (sales and point of sale, inventory, accounting, purchasing, payroll, assets, property management, reporting), this website, and support.
• "Plan" - one of the subscription tiers on the pricing page, which forms part of these terms.
• "Your data" - everything you enter or upload: products, customers, suppliers, employees, transactions, the ledger, documents.
• "Account owner" - the person who opened the account, or whoever they have since named in its place.

2. Account & trial

You must be a business, or a person acting for one, and at least 18. The person who opens the account confirms they have authority to bind that business. You are responsible for everyone you give access to, for keeping passwords private, and for what is done under your logins; tell us straight away if you think an account has been compromised. Each company's data is isolated from every other customer's, and who can see and do what inside your company is set by the roles and permissions you manage.

The trial is 14 days on the full platform with no card required. Anything you enter during the trial is yours and stays with the account if you subscribe. If you do not subscribe, the account is closed at the end of the trial; you can export your data before then, and we keep it for 30 days after closure in case you change your mind, after which it is deleted. 3. Subscription & billing in AED

• Prices are published in UAE dirhams and include VAT at 5%. What you see on the pricing page is what you are charged; there is no separate implementation fee.
• You choose monthly or annual billing. Annual plans are billed once, in advance, at the annual rate shown.
• Users and other quantities above what your plan includes are charged at the per-unit rate shown on the pricing page, for the period they are enabled.
• We may change prices. Changes apply from your next renewal and we will tell you at least 30 days before they take effect - never mid-term.
• If a payment fails we will let you know and give you a reasonable time to fix it. If it stays unpaid the account may be suspended; your data is not deleted because of a late payment.
• Fees already paid are not refunded when you cancel part-way through a period, except where the law requires it or we have agreed otherwise in writing. [LEGAL REVIEW] confirm the no-refund position and its exceptions.

4. Data ownership & export

Your data belongs to you. We do not own it, sell it, or use it for anything other than running the service for you and - in aggregate and anonymised form - understanding how the product is used. You can export it at any time, in formats that open in a spreadsheet or move to another system, without an exit fee and without raising a ticket. That is what we mean when we say the ERP your business actually owns.

You are responsible for the data you put in: that you are entitled to hold it, that it is accurate, and that you have whatever consent your own customers and employees are owed. How we handle personal data is set out in our privacy policy.

5. Acceptable use

Use the service for running a lawful business. Do not try to break into it, overload it, reverse-engineer it, resell access to it, or use it to store or send anything unlawful. Do not enter data about other people that you have no right to hold. If we see use that threatens the service or other customers, we may suspend the account while we talk to you.

Tax and legal compliance stays with you. VISIONS ERP calculates VAT on each document, prepares the figures a UAE VAT return needs, and produces the structured data an e-invoicing provider requires. It does not file returns for you, and it is not an accredited e-invoicing service provider - you appoint one separately, as we say plainly on the e-invoicing page. Registering, filing on time, paying what is due and keeping records for the period the Federal Tax Authority requires are your obligations. Have your accountant check the output before you rely on it; we will help either of you understand it.

6. Availability & support

We take routine, automated backups and store your data in isolated tenancies. We work to keep the service available around the clock, schedule maintenance outside UAE business hours where we can, and tell you in advance when it will be noticeable. We do not promise uninterrupted service - no cloud provider honestly can - but if something breaks on our side we fix it as a priority and tell you what happened. Backups exist so that we can restore the service; they are not a substitute for your own exports. [LEGAL REVIEW] confirm whether a formal uptime commitment or service credits are to be offered.

Support is included in every plan and comes from the team that builds the product, Monday to Saturday, 9am to 6pm Gulf Standard Time, by phone, WhatsApp and email at the details on the contact page. Messages outside those hours are picked up the next working morning. Help with your initial data import is part of getting started, not a paid engagement.

7. Termination

You can cancel at any time from your account or by writing to us. The service continues until the end of the period you have paid for. After that the account is closed; you can export everything before closure, and we keep the data for 30 days afterwards so it can be recovered or exported if you missed something. After 30 days it is deleted from live systems, and from backups as they rotate. [LEGAL REVIEW] confirm the 30-day retention after closure.

We may end the agreement if you materially breach these terms and do not put it right within 14 days of being told, or immediately if the breach is one that cannot be put right or puts the service or other customers at risk. If we ever decide to stop offering the service altogether, we will give at least 90 days' notice and keep exports available throughout. 8. Intellectual property

The software, its design, its documentation and the VISIONS ERP name are ours or our licensors'. Your subscription gives you the right to use them for your business while the subscription lasts, nothing more. Your data, your documents and your branding are yours. If you send us suggestions, we may use them without owing you anything - that is how most of the product's features came about.

9. Liability

We provide the service with reasonable skill and care. To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, or loss that results from data you entered incorrectly, from a filing you made late, or from a decision you took on the basis of a report you did not check. Where we are liable, our total liability in any twelve-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited under UAE law. 10. Changes to these terms

We may update these terms. Minor changes take effect when posted here with a new date at the top. Changes that materially affect your rights are announced by email to the account owner at least 30 days before they apply, and if you do not accept them you can cancel before that date without penalty.

11. Governing law - UAE

These terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai, and any dispute that we cannot settle between us is subject to the exclusive jurisdiction of the courts of Dubai.
